बताया जा रहा है कि चीन ने भी इस मामले में कुछ कड़ा रुख अपना रखा है। चीन के पास इस समय 3,000 अरब डॉलर का विदेशी मुद्रा भंडार है और उसके चालू खाते में बचत का स्तर भी बहुत ऊंचा है। वह विदेशी मुद्रा भंडार और चालू खाते में बचत को असंतुलन का सूचक बनाए जाने के खिलाफ है। इसके बजाय वह व्यापार में बचत पर गौर करने का सुझाव दे रहा है।

मुखर्जी ने कहा कि इस बैठक का सकारात्मक नतीजा निकलना चाहिए। तभी यह संकेत जाएगा कि जी20 विश्व में मजबूत, निरंतरतापूर्वक और संतुलित आर्थिक वृद्धि सुनिश्चित करने के प्रति गंभीर है। तभी यह संकेत मिलेगा कि यह फोरम केवल संकट के समय खड़ा होने वाला फोरम नहीं बल्कि ढांचागत समस्याओं का समाधान निकालने वाला मंच है। वित्तमंत्री ने सभी को एक डंडे से हांकने वाले समझौते के विचार का विरोध करते हुए कहा कि जिंस बाजार सहित विभिन्न अंतरराष्ट्रीय बाजारों में भारी उतार-चढ़ाव में भी भारत का कोई हाथ नहीं है।

बकौल मुखर्जी समझौते का उद्देश्य ऐसे सांकेतिक दिशानिर्देशों का निर्धारण होना चाहिए जिससे बहुत अधिक वैश्विक आर्थिक असंतुलन से बचा जा सके। भारत ने सुझाव दिया कि असंतुलन के दिशानिर्देशों पर आम सहमति के लिए और प्रयास होने चाहिए और यदि आम सहमति नहीं बतनी है तो घोषणा पत्र के संबंधित हिस्से को हटा दिया जाना चहिए।

मुखर्जी ने कहा कि भारत मौसम संबंधी कारकों से प्रभावित होता रहता है क्योंकि इसका असर फसलों पर पड़ता है। उन्होंने कहा कि मौसम की अनिश्चितताओं के कारण भारत को खाद्य वस्तुओं की ऊंची और असह्य मुद्रास्फीति का सामना करना पड़ा है। मुखर्जी के मुताबिक उसी समय विश्व खाद्य बाजार में भी चीजें महंगी होने से भारत को खाद्य मुद्रास्फीति से निपटने में बाहरी मदद की गुंजाइश भी कम रही।

बकौल मुखर्जी भारत को वैश्विक बाजार की अनिश्चिताताओं के कारण भी चिंता है। उन्होंने इस संबंध में जिंसों और परिसंपत्तियों की ऊंची कीमत व आर्थिक समस्याओं के ढांचागत स्वरूप का उल्लेख किया।

वित्तमंत्री ने कहा कि भारत चाहता है कि विश्व में संतुलित आर्थिक वृद्धि हो और जिन देशों के पास पूंजी ज्यादा है, उस देशों से विकासशील देशों को बुनियादी सुविधाओं के विकास के लिए पूंजी का स्थानातंतरण हो। जी20 भारत, चीन, रूस और ब्राजील, अमेरिका, ब्रिटेन, जर्मनी, जापान, फ्रांस जैसे कुल 20 देशों का मंच है।

गुरुवार को सुरक्षा मामलों की मंत्रिमंडलीय समिति (सीसीएस) की बैठक हुई, जिसके बाद इसकी घोषणा की गई। यह घोटाला भारतीय अंतरिक्ष अनुसंधान संगठन (इसरो) से जुड़े होने के कारण इसमें सीधे प्रधानमंत्री घिर रहे थे, क्योंकि अंतरिक्ष विभाग सीधे पीएम के अंतर्गत है।

उल्लेखनीय है कि इसरो की वाणिज्यिक शाखा एंट्रीक्स कॉरपोरेशन और देवास मल्टीमीडिया सर्विसेज के बीच हुए करार में कथित तौर पर देवास को लाभ पहुंचाया गया है। समझौते के अंतर्गत देवास को 20 वर्ष की अवधि तक एस-बैंड स्पेक्ट्रम के 70 मेगा हर्टज के अनियंत्रित इस्तेमाल की छूट दी गई थी, अगर यह डील कार्यान्वित होती तो इससे देवास को काफी लाभ पहुंचता।

इसरो की वाणिज्यिक शखा एंट्रीक्स और मेसर्स देवास के बीच 28 जनवरी 2005 को यह करार हुआ था। इसरो के पूर्व वैज्ञानिक सचिव एमजी चंद्रशेखर देवास कंपनी के अध्यक्ष हैं।

गौरतलब है कि सरकार ने उसे 31 जनवरी तक का वक्त दिया था कि वह मैसेज डिकोडिंग करने की व्यवस्था करे नहीं तो उसका लाइसेंस रद्द कर दिया जाएगा। रिम ने गुरुवार को कहा कि उसने मैसेंजर पढ़े जाने से संबंधित सॉल्यूशन दे दिया है ताकि कानूनी तरीके से मैसेज पढ़े जा सकें।

इसके तहत भारत सरकार की खुफिया एजेंसियां ब्लैकबेरी मैसेंजर और ब्लैकबेरी इंटरनेट सर्विस को एक्सेस कर सकेंगी। खुफिया एजेंसियों का कहना था कि इनसे आतंकवादी कार्रवाइयां या जासूसी करने वालों को आसानी होती है। इसलिए इन पर प्रतिबंध लगाना जरूरी है।

ब्लैकबेरी ने समय से पहले भारत सरकार की एजेंसियों को मैसेंजर का एक्सेस सौंप तो दिया है लेकिन उसने कॉरपोरेट ईमेल को एक्सेस करने की व्यवस्था करने में अपनी असमर्थता जताई है। उसका कहना है कि ऐसा करना उसके बूते की बात नहीं है।

चैंबर ऑफ आजादपुर फ्रूट एंड वेजीटेबल ट्रेडर के महासचिव रंजन शर्मा ने कहा कि लोहरी के बाद नई फसल आने लगती है, जिसके कारण बाजार प्याज की नई फसल से भर जाएगा और खुदरा दुकानों पर प्याज पांच से 10 रुपए प्रति किलो भाव पर मिलना शुरू हो सकती है। पिछले महीने प्याज की कीमत 100 रुपए प्रति किलो तक पहुंच गई थी।

शर्मा ने कहा कि उन्होंने गुरुवार को खुदरा विक्रेताओं को 400 टन प्याज बेचे हैं और इसकी कीमत अभी 20-40 रुपए प्रति किलो चल रही है। प्याज के थोक कारोबारी आयकर अधिकारियों द्वारा मारे जा रहे छापे के विरोध में दो दिनों से हड़ताल पर थे, जिसे उन्होंने बुधवार को वापस ले लिया।

उन्होंने कहा कि दो दिनों की हड़ताल के कारण अभी उनके पास कम प्याज है, लेकिन दो-तीन दिनों में प्याज की आपूर्ति बढ़ जाने से कीमत कम हो जाएगी। व्यापारियों ने बुधवार को दिल्ली की मुख्यमंत्री शीला दीक्षित से मुलाकात की थी, जिसके बाद उन्होंने हड़ताल वापस ले ली।

इस कार को कंपनी ने डीजल और पेट्रोल दोनो ही सेगमेंट में एक साथ लांच किया है। यह कार दस आकर्षक रंगों में उपलब्ध होगी। बीएमडब्ल्यू प्रेसीडेंट एंड्रियाज शाफ के मुताबिक इस कार का इस सेगमेंट में कोई मुकाबला नहीं है। कंपनी कार की माइलेज 15 लीटर प्रतिकिलोमीटर का दावा कर रही है जो स्पोर्ट्स व्हीकल के हिसाब से काफी ठीक है।

कंपनी ने बीएमडब्ल्यू एक्स वन के तीन मॉडल बाजार में पेश किए हैं इनमें पेट्रोल से चलने वाली बीएमडब्ल्यू एक्स वन एस ड्राइव 18 आई और डीजल से चलने वाली बीएमडब्ल्यू एक्स वन एस ड्राइव 20 डी और बीएमडब्ल्यू एक्स वन एस ड्राइव 20 डी एक्सक्लूसिव शामिल है। पेट्रोल मॉडल की एक्सशोरूम कीमत 22 लाख रूपए तथा डीजल संस्करण की कीमत 23 लाख 90 हजार और 29 लाख 90 हजार रखी गई है।

बीएमडब्ल्यू इंडिया के अध्यक्ष डॉ. एंड्रियाज शाफ ने कहा कि यह गाडी प्रीमियम स्पोट्र्स यूटिलिटी श्रृंखला में उतारी गई एक नई कडी है, जिसमें पहली बार कंपनी ने किफायती दाम पर लक्जरी ब्रांड पेश करने की पहल की है।

इस कार की लोकप्रियता का अंदाजा इसी बात से लगाया जा सकता है कि लांच से पहले ही इस कार की 1000 से ज्यादा बुकिंग हो चुकी है।

कार में पर्याप्त स्पेस है साथ ही इसकी डिक्की भी काफी बड़ी है जिसमें आप काफी सामान रख सकते हैं। साथ ही अगर आप लगेज और डालना चाहते हैं तो आप इसकी सीटों को फोल्ड कर सकते हैं।

कार में सनरुफ की सुविधा भी उपलब्ध है। यह कार 8.3 सेकेंड में 100 किलोमीटर प्रतिघंटा की रफ्तार पकड़ सकती है इस कार की अघिकतम रफ्तार 250 किलोमीटर प्रतिघंटा है। बीएमडब्ल्यू एक्स वन की कीमत 22 लाख से 30 लाख रुपए के बीच (एक्स शोरुम दिल्ली) है।

वाणिज्य सचिव राहुल खुल्लर ने यहां संवाददाताओं से कहा कि मैं एमएमटीसी, एसटीसी और पीईसी जैसी तीन सार्वजनिक कंपनियों के अध्यक्षों से मिला और उनसे प्याज का आयात करने के अनुबंधों की ओर ध्यान देने को कहा।

वाणिज्य सचिव के एम चन्द्रशेखर इस स्थिति की खुद निगरानी कर रहे हैं। उन्होंने इससे पहले वाणिज्य मंत्रालय से प्याज की घरेलू उपलब्धता बढ़ाने के लिए प्याज के आयात को गति देने को कहा।

इस बीच केंद्रीय वित्‍त सचिव अशोक चावला ने आज यहां पत्रकारों से कहा, ‘प्‍याज के आयात पर लगने वाले कस्‍टम ड्यूटी को 5 फीसदी से घटाकर शून्‍य कर दिया गया है।’ सरकार के प्रयास और स्थानीय प्रशासनों द्वारा मारे गए छापे के बाद दिल्ली और नासिक के थोक बाजार में प्याज के दाम करीब 42 फीसदी तक गिर गए हैं। लेकिन प्याज की रिटेल कीमत अभी भी 70- से 80 रुपए के बीच है।

प्याज कीमतों में अचानक वृद्धि के बाद सरकार की ओर से ये कदम उठाये गये हैं। देश भर के खुदरा बाजारों में प्याज की जो कीमत जून के महीने में 10-11 रुपये प्रति किलोग्राम थी वह बढ़कर अब 70-85 रुपये प्रति किलोग्राम हो गयी है।

प्याज कीमतों को नियंत्रित करने के उपाय के तहत सरकार ने पहले ही निर्यात को प्रतिबंधित कर दिया है और प्याज पर आयात शुल्क को समाप्त कर दिया है।

पिछले दिनों पेट्रोल की कीमत में करीब 3 रुपये प्रति लीटर की भारी बढ़ोतरी करने के बाद सरकार डीजल और रसोई गैस के दाम बढ़ाने की तैयारी में है। इस पर अंतिम फैसला आज ही होना था, लेकिन इसे एक सप्‍ताह के लिए टाल दिया गया है। अब डीज़ल के दाम में दो रुपये प्रति लीटर बढ़ोतरी की तैयारी है।

डीजल की कीमतों में बढ़ोतरी का सीधा असर माल ढुलाई और अंतत: तमाम चीजों की महंगाई पर पड़ता है। लेकिन जनता को एक झटके में करारी चोट देने के बजाय सरकार धीरे-धीरे महंगाई की मार देना चाहती है। इसीलिए सरकार ने 80 रुपये प्रति किलो तक पहुंच चुके प्‍याज की कीमत थोड़ी नीचे लाने की कोशिश की है। इस मामले में प्रधानमंत्री के दखल देते ही थोक बाजार में प्‍याज के दाम 30 फीसदी तक कम हो गए।

सरकार के प्रयास के बाद नासिक मंडी में प्याज के दाम प्रति क्विंटल 5200 से घटकर 3702 रुपए हो गए हैं। मनमाड़ के थोक बाजार में भी प्याज की कीमत 36 फीसदी गिर गई है। पहले यह 4500 रुपए थी, जो घटकर 2900 रुपए रह गई है। दिल्ली की आजादपुर मंडी में भी थोक दाम 29 प्रतिशत गिरे हैं। यहां पहले प्याज 5,000 रुपए प्रति क्विंटल था, जो अब घटकर 3550 रुपए हो गया है।

थोक बाजार में हालांकि प्याज के दाम गिर गए हैं, लेकिन खुदरा बाजार में इसका असर अभी नहीं दिख रहा है। लेकिन दिल्ली के खाद्य और नागरिक आपूर्ति मंत्री हारून युसुफ ने दावा किया कि आजादपुर मंडी में प्याज का खुदरा मूल्य 37.50 रुपए प्रति किलो तक गिर गया है। उन्होंने कहा कि उनके विभाग ने प्याज की कालाबाजारी कर रहे व्यापारियों के 137 ठिकानों पर छापे मारे, जिसके बाद कीमतें गिरी हैं।

पेट्रोलियम सचिव एस. सुंदरेशन ने बताया कि डीजल और रसोई गैस के दाम बढ़ाना जरूरी हो गया है, लेकिन उन्होंने यह बताने से इनकार कर दिया कि इनमें कितनी बढ़ोतरी होगी। उन्‍होंने यह भी जानकारी दी कि इस बारे में बुधवार को होने वाली मंत्रियों के अधिकार प्राप्त समूह यानी ईजीओएम की बैठक अब अगले हफ्ते होगी।

डीजल और घरेलू एलपीजी के दाम पर विचार विमर्श के लिये मंत्रियों के अधिकार प्राप्त समूह की 30 दिसंबर को बैठक हो सकती है। कच्चे तेल की कीमत दो साल के उच्च स्तर 93.59 डालर प्रति बैरल पर पहुंच जाने के बाद पेट्रोलियम पदार्थों के खुदरा ईंधन मूल्य तथा उसकी लागत में अंतर को देखते हुए बैठक की संभावना है।

एक सरकारी अधिकारी ने बताया कि मंत्रियों के अधिकार प्राप्त समूह की बैठक 30 दिसंबर को होने की संभावना है। डालर के कमजोर होने तथा उत्तरी यूरोप तथा अमेरिका में सर्द मौसम के कारण तेल कीमत दो साल के उच्च स्तर पर पहुंच गयी है।

माना जा रहा है कि अंतरराष्ट्रीय बाजार में कच्चे तेल की आसमान छूती कीमतों के मद्देनजर देश में डीजल की कीमत में प्रति लीटर 2 रुपये तक की बढ़ोतरी की जा सकती है। वहीं, रसोई गैस की कीमत में भी प्रति सिलिंडर 50-100 रुपए तक की बढ़ोतरी की आशंका जताई जा रही है। हालांकि इसे लेकर यूपीए सरकार के ही कुछ मंत्रियों में मतभेद की भी खबर है।

बताया जा रहा है कि पेट्रोलियम मंत्री मुरली देवड़ा चाहते हैं कि डीजल की कीमतों में बढ़ोतरी कर दी जाए क्योंकि अंतराष्ट्रीय बाजार में कच्चे तेल का दाम करीब 93.59 डालर प्रति बैरल के आसपास चल रहा है, जिसकी वजह से ऑयल मार्केटिंग कंपनियों को काफी नुकसान हो रहा है। वहीं, यह भी बताया जा रहा है बढ़ती महंगाई के मद्देनजर वित्त मंत्री प्रणव मुखर्जी पूरे मन से डीजल की कीमत बढ़ाने के पक्ष में नहीं हैं। उनका मानना है कि अगर डीजल की कीमत बढ़ाई गई तो महंगाई फिर बेकाबू हो सकती है।

गौरतलब है कि महंगाई सिर्फ आम जनता को हमेशा भारी नहीं पड़ती है। कई बार ये सरकारों की भी चूलें हिला देती है। प्याज के दामों ने सिर्फ आम आदमी के आंसू नहीं निकाले हैं, बल्कि इसने सरकारों को भी रोने पर मजबूर कर दिया है। 1980 की चरण सिंह की सरकार प्याज के आसमान छूते दामों की वजह से गई थी।

जबकि 1999 में दिल्ली में बीजेपी की हार की वजह भी प्याज की बढ़ी कीमत ही बनी थी। इन दोनों मौकों पर कांग्रेस को फायदा हुआ था। 1980 में चरण सिंह की काम चलाऊ सरकार के खिलाफ इंदिरा गांधी ने कांग्रेस की ओर से प्याज के आसमान छूते दाम को मुद्दा बनाया था, जबकि 1998 में शीला दीक्षित ने बीजेपी के खिलाफ इसे चुनावी हथियार के रूप में इस्तेमाल किया था।

रतन टाटा ने अपनी चिट्ठी में राजीव चंद्रशेखर के हर सवाल का जवाब दिया है और कहा है कि वो चाहते हैं कि इस पूरे मामले की व्यापक जांच को और जांच न केवल यूपीए के शासनकाल की हो बल्कि 2001 तक के दौर को भी जांच के दायरे में लाया जाए। टाटा के मुताबिक पूरी जांच से ही पता चल सकेगा कि आखिर वो कौन कंपनियां और चेहरे हैं जो टेलीकॉम सेक्टर को अपना बंधक बना कर रखना चाहते थे और वो क्यों बौखलाए हुए हैं।

टाटा ने यह भी कहा कि चंद्रशेखर खुद सीआईआई का सहारा लेते रहे हैं और नुस्ली वाडिया के साथ जुलाई 2002 में टेक्नॉलोजी न्यूट्रल पॉलिसी के ख़िलाफ़ हस्ताक्षर कराने के लिए उनसे संपर्क साधा था। मतलब चंद्रशेखर टेलीकॉम सेक्टर के विस्तार के विरोध में रहे हैं। यही नहीं सेल्युलर ऑपरेटर एसोसिएशन ऑफ इंडिया के जरिए अन्य लोगों के साथ मिल कर चंद्रशेखर भी खास मकसद में लॉबिंग करते रहे हैं। और अगर चंद्रशेखर जैसे लोग अपने छोटे-छोटे गणित को भुला देते और रुकावट नहीं बनते तो टेलीकॉम सेक्टर की विकास दर और तेज होती।

टाटा ने कहा है कि सभी शर्तों को पूरा करने के बाद भी टीटीएसएल को दिल्ली और देश के 39 दूसरे बड़े शहरों में स्पेक्ट्रम के लिए तीन साल से अधिक इंतज़ार करना पड़ा। यही नहीं टाटा अकेली ऐसी कंपनी है जिसने डीओटी (डिपार्टमेंट ऑफ टेलीकॉम्यूनिकेशन) की मांग पर स्पेक्ट्रम लौटाया भी है।

आखिर में टाटा के इस खत ने टेलीकॉम सेक्टर में चल रहे खेल को सामने ला दिया है। उन्होंने जांच में बीजेपी की अगुवाई वाली एनडीए के शासनकाल में लिए गए फैसलों को शामिल करने की अपील की है। ये वही दौर है जब इस देश के एक प्रधानमंत्री ने एक निजी कंपनी की टेलीकॉम सेवा का उद्घाटन किया था।

NDTV-ICICI loan chicanery saved Roys

NDTV Limited and associate companies in which Prannoy Roy and Radhika Roy have a majority stake have indulged in financial misdemeanours and malpractices in connivance with ICICI Bank, and raised funds by misdeclaration of the value of shares in NDTV. These shares were held by a company called RRPR Holding Private Limited. The deal took place between July and October 2008 during a “buyback” of shares from the stock market announced by NDTV Limited at the price of Rs 439 per share.

Share prices were in a period of boom at the time, and the company expected prices to rise even further. This is why it wanted to buy the shares back. Since the company did not have sufficient liquid funds to finance this purchase of shares, it took a loan from India Bulls Financial Services of Rs 363 crores, pledging 90,70,297 NDTV shares. This was in July 2008.
In August 2008, the stock market collapsed on the back of the subprime crisis in USA; the index crashed from about 22,000 to below 10,000. The price of NDTV shares went down from a high of Rs 394 to around Rs 100.
The collateral of the India Bulls loan, therefore, depreciated, compelling India Bulls to recall the loan. NDTV did not have the money to do so. They approached ICICI Bank to lend them money. ICICI gave a loan of Rs 375 crores in October 2008 against the collateral of 47,41,721 shares held by RRPR, at an average price of Rs 439, representing a gross value of Rs 208 cr.
This was the first financial malfeasance, since the worth of the collateral was far less than the amount given. This was further compounded by what can only be described as financial chicanery, since the price of the shares given as collateral was not Rs 439 but was actually Rs 99 in the market, as of 23 October 2008. The gross value of the collateral was only Rs 46.94 crores, or one-eighth of the loan given. ICICI, a publicly traded company in which the government and its institutions have a substantial stake, therefore accepted a lie purveyed by Prannoy Roy and Radhika Roy, the only two shareholders in RRPR. It is also important to note that RRPR did not own a single NDTV share before July 2008, authorised and subscribed capital of a mere Rs 1 lakh.
Shockingly, just days after the disbursal of the monies, one of the directors of RRPR Holding [there were only two directors, the husband-wife team of Roys], was granted an interest-free loan of Rs 73.91 crores from the funds that had suddenly come into this inert company through the ICICI loan. The ICICI loan was an open violation of the SARFAESI Act of 2002.
The Ministry of Corporate Affairs, who received the necessary intimations of all transactions, gave implicit acquiescence of the transaction by choosing to remain silent. RBI, which had also received this information, also kept quiet.
To put this malfeasance in context, last month CBI arrested eight senior managers of LIC and other banks for a loan scam amounting to Rs 2000 crores in multiple transactions. NDTV has been a frequent borrower abroad, and also selling stakes in subsidiaries abroad and repurchasing these shares through various interested parties at prices that have no relationship to actual market values. For instance, NDTV Imagine [now sold] shares representing a face value of Rs 10, were sold at Rs 776. The benefit of such high premium obtained by these shares has not reached the Indian investors in the company. NDTV shares, on the other hand, are slipping even further, and losses rising. Its business overseas is through subsidiaries, which conduct financial dealings through accommodation addresses; one is 90 High Holborn, London.

NDTV CEO gives reply, Guardian responds
NEW DELHI

The Sunday Guardian sent nine questions to NDTV in the interest of fair journalism, ranging from the “buyback” deal, tax avoidance, full and transparent declaration of financial accounts in India, and overseas operations. These are the questions:

1. At a time when NDTV is publicising NDTV Networks PLC as a subsidiary of NDTV, why isn’t it attaching the accounts of this subsidiary or of its other foreign subsidiaries with its accounts?

2. Specifically, why were the accounts of NDTV’s subsidiary companies not attached with NDTV’s balance sheet/annual report of 2006-07?

3. The company applied to the Ministry of Corporate Affairs on 24 May 2007 for exemption in relation to nine subsidiaries, including overseas subsidiaries. The balance sheet was signed on 22 May 2007. So exemption was not available to NDTV on the date of signing the annual report/balance sheet on 22 May 2007. Isn’t this a punishable offence?

4. If the foreign companies are admittedly subsidiaries of NDTV why are the names of the shareholders, directors and the shares held by each and the remuneration paid to directors/employees not being disclosed to regulatory authorities in India?

5. Specifically, why hasn’t NDTV made public any information about NDTV BV, about its directors, the source of its finances, etc? Or about the sources of the money raised by NDTV Network Plc?

6. According to the annual report of the NDTV group for 2008-09, NDTV Network Plc invested over Rs 400 cr in its subsidiaries: Rs 383.43 cr in NDTV Imagine, Rs 14.64 cr in NDTV Convergence and Rs 29 cr in NDTV Lifestyle. Why is nothing known about how this money was raised?

7. Are stakes being sold and repurchased to boost the share price of NDTV? Please refer to the buyback in October 2009 of the 26% shares held by NBCU in NDTV Plc.

8. What is the tax treatment meted out to repeated acquisition and alienation of assets of foreign subsidiaries? Do repeated foreign transactions have RBI and regulatory approvals?

9. Shouldn’t NDTV be questioned by the authorities for the amount of tax evaded on offshore transactions and the service tax evaded on consultancy activities of companies listed abroad? Aren’t these companies a conduit for funds-flow to the Indian company?

NDTV Group CEO and Executive Director K.V.L. Narayan Rao sent a reply, along with the threat of “criminal defamation”, in response to these questions. His letter:

Your fax of 3rd December 2010, is riddled with innuendos and false accusations. While we have answered all your questions, we reserve the rights under civil and criminal law both against your publication and against any individuals in your organisation.

We repeat that your fax is based on false information and is clearly motivated to defame NDTV. The fact that you refuse to meet us and discuss the issues face to face despite repeated requests, is in itself an indication of this attitude. We still ask that you meet us and discuss the entire matter and hold onto any publication till then.

If despite our response, you decide to carry a story on this, we would insist that our entire response be carried with the same prominence, headline and abutting the article. Further, we would ask that you share a copy of the full article with us before it is published so that we can counter any allegations and innuendos that are not part of your questionnaire.

In all our corporate actions in our company (ies) during the period in question we have been advised by KPMG, PwC, Luthra & Luthra and Sanjay Dutt of Quantum Securities.

Set out below are our responses to your questions in their order:

1. NDTV Limited has been exempted by the Ministry of Corporate Affairs from attaching the accounts of its subsidiaries with its balance sheet. A statement of accounts of its subsidiaries is, however, attached with the annual report. More importantly, NDTV Limited as a matter of policy (stated very clearly in its annual reports) allows any investor who would like to see detailed financial statements of the subsidiaries to either demand them from NDTV or to inspect them at its registered office. Lastly, the detailed financial statements of the overseas subsidiaries are also available as per the respective laws of their jurisdictions. For example, the financial statements of NDTV Networks plc are easily available on the website of Company House, UK.

2. The accounts of NDTV’s subsidiaries were not attached to the 2006-2007 balance sheet/annual report of NDTV Limited because NDTV Limited was not required to do so, on account of the aforesaid exemption.

3. The government has exempted NDTV from attaching the financial statements of its subsidiaries with its annual report for each of the financial years since 2006-2007. The government grants this exemption for specific years and the date when the balance sheet is signed by the directors is totally irrelevant. What is relevant is the date on which the annual report is sent to the shareholders. In NDTV’s case, the annual report was sent to the shareholders only after receipt of the central government’s approval. The irrelevance of the date on which the balance sheet is signed is further demonstrated by the fact that the government granted this exemption for the financial year 2006-2007 even though the application was made after the signing of the balance sheet/ annual report. This is exactly as required by law.

In any event, we do not understand why a routine exemption, which all large companies generally seek and receive, is considered noteworthy by you. Please consider the following

The accounts of NDTV Limited are compiled and disclosed on a consolidated basis. Therefore all relevant information relating to its subsidiaries is anyway contained in NDTV Limited’s own financial statements.

This exemption is sought and received by all large corporate groups (including Infosys, Bharti Airtel, Tata Steel, Aditya Birla Nuvo, TVS Motors Co Ltd and Tata Motors) simply because attaching the balance sheet, P&L, Directors Report and other statements for each subsidiary makes the annual report of the parent company extremely unwieldy.

4. It is absurd to suggest that the names of NDTV Limited’s subsidiaries or other information have been suppressed. Their names, NDTV’s shareholding (direct or indirect) in them, names of directors who have received any remuneration from any subsidiary and the remuneration paid to NDTV’s directors by any subsidiary are all disclosed in NDTV’s annual reports to the fullest extent required by law.

5. All information about NDTV BV and NDTV Networks plc, which NDTV is required to disclose under Indian law, has been duly disclosed. Its relationship to NDTV, sources of funds, NDTV’s shareholding in it and its key financials are all disclosed in the annual reports of NDTV.

6. You have asked us why nothing is known about the manner in which funds have been raised for infusion into its subsidiaries. This information is so widely known and so easily accessible that the only reason why it is not known to you can be that your researchers have not done their jobs well.

The following were the ways in which funds were raised for the non-news businesses carried out by these subsidiaries. Each of the following were widely publicised, were duly disclosed to the stock exchanges and have been explained in meticulous detail in the annual reports of NDTV.

In 2007, USD 20 million were raised by issuing preference shares to private equity investors.

In 2007, USD 100 million were raised by the issuance of convertible bonds.

In 2008, USD 150 million were raised by issuing shares to NBCU group companies.

These funds were infused into companies like NDTV Imagine, NDTV Lifestyle and NDTV Convergence, among others, from time to time, as required under their approved business plans. Prior permission of all relevant regulatory authorities including the FIPB, Ministry of I and B, RBI and others as required, was obtained before such funding.

7. Your seventh question, and the manner in which it has been framed, raises serious doubts about the integrity of your intentions. Typically, we would not have dignified such questions (which are really accusations and not genuine inquiries) with a response. However, we are inclined to extend you the benefit of doubt.

Firstly, there was never any stake sale in the NBCU transaction. In May 2008, NBCU subscribed to fresh shares of an NDTV subsidiary. These shares were purchased by a subsidiary of NDTV. Therefore, there was never any instance of sale and repurchase. Both these transactions were consummated at an arm’s length and were fully disclosed. There is no question of having done anything to “boost” the value of NDTV’s shares although shareholder interests are always protected within the framework of the law.

8. NDTV’s overseas subsidiaries are complying with all tax compliance requirements. Whenever any approval was required from any regulatory authority it has been sought and received. In fact, the overseas investments were themselves made only after obtaining an FIPB approval.

9. We are shocked at the suggestion that NDTV has evaded tax. As mentioned previously, NDTV’s overseas subsidiaries are complying with all tax compliance requirements. All applicable laws have been duly complied. Therefore, it is preposterous to say that the overseas operations are a “conduit for funds flow into India.”

We place on record that NDTV will vigorously prosecute its rights under civil and criminal law – both against your publication and against any individuals in your organization who may be involved with any act of defamation against NDTV. Specifically, we intend to file cases of criminal defamation and pursue these to their conclusion against any individual or organization that makes insinuations of wrong-doing without stating concrete facts clearly and accurately.

The Sunday Guardian found these replies to be inadequate at best, particularly since they chose to ignore the truly culpable elements of the story. This is our response to their clarification.

Companies can be exempted from filing accounts of subsidiaries, but such exemption must be applied for prior to approval of the balance sheet. In this case the balance sheet was signed on 22 May 2007 and application for exemption was made on 24 May 2007.

1: Details of profit and loss of one overseas, indirect subsidiary, NDTV Networks PLC, show huge losses in the last two years: were these losses reported in India along with NDTV’s balance sheet? Such data would have impacted the NDTV share price in India. This P&L, obtained by The Sunday Guardian from UK government records, is published alongside in a box. Accounts of the principal subsidiary, NDTV Networks BV, are published in Dutch since it is based out of Netherlands, which is all the more reason that there should be clarity in English and published along with NDTV accounts in India.

2&3: This is largely a repetition of the first answer. There is nothing in law called retrospective exemption. They should in fact have been penalised by Company Affairs.

4&5: NDTV has chosen a clever route to prevent full dissemination and disclosure of detailed accounts of its foreign subsidiaries and their financial dealings by making them subsidiaries of a subsidiary. An “indirect subsidiary” is not recognized by law in India and has to be treated as a normal subsidiary. Therefore all accounts of the NDTV BV as well as its subsidiaries in London should have been published along with NDTV’s balance sheet. Clearly the exemption was also sought because NDTV had something to hide.

6: NDTV’s answer only substantiates our investigation: NDTV and its indirect subsidiaries have been on a fund-raising binge but the resultant losses are not being bridged. Secondly, their borrowings are being guaranteed by NDTV, as our investigation proves by quoting NDTV itself. Did NDTV obtain RBI and Ministry of Finance approval for such corporate guarantees of at least Rs 400 crores? Could this corporate guarantee result in contingent liability in the NDTV balance sheet in India at a time when NDTV was making huge losses?

7: While we will not respond to gratuitous and snide allusions, which show little maturity, we are happy to believe that NDTV has confirmed what was said in regard to the sale and purchase of shares by NDTV PLC of its subsidiaries [note, specific admission in second paragraph of their response] albeit you have chosen slightly different language in your confirmation.

8: We would request Mr Rao to read the investigation, in which we have pointed out several areas which deserve immediate investigation by the relevant and competent government agency for violations of fiscal and regulatory laws.

9: Share sales and purchases abroad through indirect subsidiaries would have invited tax liability on any share premium. For instance, NDTV Imagine sold a share with a face value of Rs 10 at Rs 776.

नए नियम में अधिकतम जुर्माने के रकम को बढ़ाकर 2 लाख रुपए कर दिया गया है। वहीं मामला गंभीर होने पर ऑपरेटर का लाइसेंस भी रद्द कर देने का प्रावधान किया गया है।

ये नया नियम उन मोबाइल ग्राहकों पर लागू होगा जिन्होंने ‘डू नॉट कॉल रजिस्ट्री’ में अपना मोबाइल नंबर रजिस्टर करवाया हुआ है। उम्मीद की जा रही है कि इस नए नियम से मोबाइल ग्राहकों को अनचाही कॉल्स से राहत मिलेगी।

वित्त मंत्री प्रणव मुखर्जी ने चार संस्थानों से कहा है कि वे देश में काले धन के आंकड़े तथा उनकी प्रकृति का पता लगाने के बारे में अपने सुझाव दें।

वित्त मंत्रालय के एक वरिष्ठ अधिकारी ने बताया कि राष्ट्रीय लोक वित्त एवं नीति संस्थान (एनआईपीएफपी), राष्ट्रीय सांख्यिकी संस्थान (आईएसआई), नेशनल काउंसिल फार एप्लाइड इकनामिक रिसर्च (एनसीएईआर) और राष्ट्रीय वित्त प्रबंधन संस्थान (एनआईएफएम) को इस माह के अंत तक अपने प्रस्ताव सौंपने को कहा है।

अधिकारी ने बताया कि इस तरह के अध्ययन में एक साल का समय लगेगा और इसमें केंद्रीय प्रत्यक्ष कर बोर्ड (सीबीडीटी), केंद्रीय उत्पाद एवं सीमा शुल्क बोर्ड (सीबीईसी), प्रवर्तन निदेशालय और आर्थिक मामलों के विभाग और भारतीय निर्यातकों के संगठन फियो के अधिकारियों की भी मदद ली जाएगी।

साथ ही गृह मंत्रालय, विदेश मंत्रालय, कैबिनेट सचिवालय और सांख्यिकी और कार्यक्रम क्रियान्वयन मंत्रालय के अधिकारियों का भी सहयोग लिया जाएगा। काले धन पर इससे पहले अध्ययन करीब 25 साल पहले 1985 में किया गया था।

अमेरिका की ग्लोबल फाइनेंशियल स्टडी के अर्थशास्त्री देव कार द्वारा किए गए एक अध्ययन में हाल में निष्कर्ष निकाला गया है कि 1948 से 2008 के बीच भारत से 462 अरब डालर (लगभग 20 लाख करोड़ ) देश से बाहर भेजा गया है। इस अध्ययन के मद्देनजर यह प्रस्ताव काफी महत्वपूर्ण है।

रिपोर्ट में कहा गया है कि इसमें से करीब 50 प्रतिशत काला धन 1991 के बाद देश से बाहर गया है। जबकि 2000 से 2008 के बीच इसमें से करीब एक-तिहाई राशि देश से बाहर भेजी गई है।

उन्होंने कहा कि भारत में काले धन के अलावा विदेशों में जमा काले धन को भी इस अध्ययन में शामिल किया जाएगा। सर्वेक्षण के जरिए यह पता लगाया जाएगा कि देश में कितना काला धन है और क्या इस धन को देश या देश के बाहर जमा किया गया है।

अध्ययन में यह पता लगाया जाएगा कि अर्थव्यवस्था के किस क्षेत्रों में काले धन का सृजन सबसे ज्यादा हो रहा है और इससे देश की राष्ट्रीय सुरक्षा को क्या खतरा है। इसमें यह भी देखा जाएगा कि किन तरीकों से काला धन बनाया जाता है।
